Our business model is predicated on our relationships with our clients and our Service Providers. Our system was developed on the idea of bringing smaller businesses together with Service Providers to the benefit of all involved. Like an association of service providers, without any fees or membership requirements. We take great care and pride in finding the best Service Providers, who are well-established, charge fair prices and provide excellent services.
We are paid by sharing in the discounts we bring to our clients. Our marketing and sales efforts benefit the Providers, and by combining many clients from 100s of sales reps all over the country, our Providers offer us significant discounts, which we pass along to our clients. In the end, our clients receive world-class services and products at lower prices, normally reserved for larger companies or higher volume users of their businesses.
All billing invoicing and service agreements will be processed by MaxExpo, unless expressed otherwise (by MaxExpo) in advance of engagement.
We develop close relationships with our clients and our Service Providers, which last for a very long time. Many of our Service Providers have multiple accounts as a result of our relationship and glean significant additional revenue from our marketing efforts. They are our partners, and honor that relationship. That said, from time to time, clients will attempt to circumvent MaxExpo and go directly to the Provider, to obtain better pricing or benefits, which will put the Service Provider in an uncomfortable position. They are bound by an agreement that if violated, they will be subject to significant penalties, legal action and damages.
If you feel your business has grown to where you should receive additional discounts, please contact MaxExpo directly, and we will review your pricing and negotiate that for you, using our collective buying power with that Service Provider, to obtain the best rates possible for you, our valued client.
Therefore, we request that all clients agree to the following:
As a client of MaxExpo, who is introduced to any of our Service Providers, you agree that any introduction to a MaxExpo Provider will be exclusive to MaxExpo for billing or service and you agree not to engage the Provider without notification/confirmation of engagement, or billing directly by MaxExpo. You further agree to not request billing or “confidential invoicing” by a Service Provider, who was introduced by MaxExpo. In addition, you agree to notify MaxExpo if a Service Provider offers you any special pricing directly, excluding MaxExpo, that may or may not be authorized by MaxExpo.
The Client and MaxExpo agree to a mutual non-disparagement clause: whereas both parties agree to not damage, defame or otherwise discredit the other’s reputation, name or status within the community or nationally whether it be through private conversation verbally, written, electronic or any other form of media, including but not limited to; Social Media, Review Sites, Job boards or other forms of communications including the statement of being bound by this agreement in any way.
Client is prohibited from soliciting or contacting any Provider of MaxExpo (past or present) for any competitive services (including any products or services MaxExpo is actively selling in the future) at any time during a period of five (5) year period following client’s termination of this agreement, without the express written consent of MaxExpo.
The Client agrees not to recruit or attempt to recruit any existing employee, Reseller, Sales Representative or staff person associated with MaxExpo, regardless of any prior or current relationship, to any other business or income opportunity or venture (via introduction to or explanation of) during the term of this Agreement and for a period of five (5) years following termination of this Agreement. This includes, but is not limited to, promotion of business opportunities on social media sites, and all forms of communications (written, verbal, electronic, etc.). Any actions in violation of this clause will result in termination of this Agreement, which will forfeit any future relationship with MaxExpo, and repayment of potential lost revenues as a result of these actions, for a period of five (5) years or as determined by a court of law.
This Agreement shall be construed in accordance with the laws of the State of the Client or MaxExpo. Except for equitable proceedings commenced by MaxExpo, which may commence in any court of competent jurisdiction, any and all disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the Federal and State Courts. The Client hereby consents to the exclusive jurisdiction (personal and subject matter) of courts located in Connecticut in all matters pertaining to the MaxExpo.
